Terms and Conditions
§ 1 Scope of Application and Exclusion Clause1.1 The following terms and conditions exclusively apply to the legal relationships between the operator of the shop, Coach Circle, Schweriner Straße 43c, 01067 Dresden (hereinafter "Coach Circle") and its customers for purchases made through this online store, in the version valid at the time of the order.
1.2 Deviating terms and conditions from the customer are rejected. These will only be effective if explicitly confirmed in writing by Coach Circle.
§ 2 Formation of the Contract
2.1 The presentation of goods in the online shop does not constitute a binding offer from Coach Circle to conclude a purchase contract. The customer is merely invited to submit an offer by placing an order.
2.2 By sending the order in the online shop, the customer makes a binding offer to conclude a purchase contract for the goods in the shopping cart. By submitting the order, the customer also acknowledges these terms and conditions as the sole governing terms for the legal relationship with Coach Circle.
2.3 Coach Circle confirms the receipt of the customer’s order by sending a confirmation email. This order confirmation does not constitute the acceptance of the contract offer by Coach Circle. It only serves to inform the customer that the order has been received by Coach Circle. The acceptance of the contract offer is declared by the delivery of the goods or an explicit declaration of acceptance.
§ 3 Payment Information
Coach Circle accepts the following payment methods:
3.1 Prepayment via bank transfer: Transfer the money to our account. After receipt of the payment, the goods will be sent to you.
3.2 PayPal: If you have a PayPal account, you can transfer the money using it. Further information can be found at www.paypal.com.
3.3 Credit card: Pay conveniently by credit card and receive your product within a few minutes.
§ 4 Regulation for Small Businesses
VAT exemption according to (§ 19 I S. 1 UStG). This exemption from VAT is indicated on the invoices issued, and the purchaser of the delivery or service cannot claim input tax.
§ 5 Due Date
The payment of the purchase price is due upon conclusion of the contract.
§ 6 Retention of Title
Coach Circle retains ownership of the delivered software until the full payment of the agreed purchase price. If Coach Circle asserts the retention of title, the customer’s right to use the software expires. All copies of the program made by the customer must be handed over or deleted.
§ 7 Right of Withdrawal
Withdrawal from our downloadable products is generally excluded. If a product has technical defects, you can contact Coach Circle by email or letter in writing. It is at the discretion of Coach Circle whether you receive no compensation, compensation in the form of a monetary amount, a program update, or support.
§ 8 Warranty
8.1 The customer’s warranty rights are governed by the general legal regulations, unless stated otherwise below. For claims for damages by the customer against Coach Circle, the provisions in § 7 of these terms and conditions apply.
8.2 Coach Circle does not provide a guarantee.
§ 9 Liability Disclaimer
9.1 Claims for damages by the customer are excluded unless otherwise stated below. This liability disclaimer also applies to the legal representatives and agents of Coach Circle, if the customer makes claims against them.
9.2 Provisions of the Product Liability Act (ProdHaftG) remain unaffected.
§ 10 Transfer to Third Parties
The customer does not have the right to transfer the acquired software or licenses to third parties. If this occurs, Coach Circle will take legal action.
§ 11 Modification of the Software
The customer is generally not permitted to modify the received software. The software may only be modified with the approval of Coach Circle. If the received software is modified without the consent of Coach Circle, legal actions will be initiated by Coach Circle.
§ 12 Assignment and Pledge Prohibition
The assignment or pledge of claims or rights that the customer is entitled to against Coach Circle is excluded unless the provider agrees in writing. Coach Circle is only obliged to give consent if the customer demonstrates a legitimate interest in the assignment or pledge.
§ 13 Set-Off
The customer has the right to set-off only if their claim has been legally established or is undisputed.
§ 14 Price Increase and Right of Termination
14.1 Coach Circle reserves the right to increase the monthly fees at any time. If the increase in the monthly fees becomes effective within one month after notification to the customer, the customer is entitled to extraordinary termination rights. The customer can terminate the contract within this month without paying a termination fee.
14.2 Such termination must be made in writing or by email to Coach Circle. In this case, the contract ends at the end of the month in which the termination is received.
§ 15 Choice of Law and Jurisdiction
15.1 The contractual relationships between Coach Circle and the customer are governed by the laws of the Federal Republic of Germany. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.
15.2 The place of jurisdiction for all disputes arising from the contractual relationship between the customer and Coach Circle is the location of Coach Circle, provided that the customer is a merchant, a legal entity under public law, or a public law special fund.
§ 16 Severability Clause
If any provision of these terms and conditions is deemed invalid, the validity of the remaining provisions shall not be affected.
